Welcome to the Blays Loyalty Project (“Blays,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website at blaysloyalty.com (the “Website”), our mobile application (“App”), and the Blays System Sales (BSYS) ecosystem built on the Solana blockchain (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

These Terms, along with our Privacy Policy, Disclaimer, and Refund Policy, form a legally binding agreement between you and Blays. We may update these Terms at any time, with changes posted here and effective upon posting. Your continued use of the Services constitutes acceptance of the updated Terms.

2. Eligibility

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
  • Merchants must be legally authorized to operate a business and enter into agreements.
  • You must not be prohibited from using the Services under applicable laws or sanctions.

3. Services Overview

Blays operates a blockchain-powered universal loyalty ecosystem on Solana, enabling:

  • Users: Earning BREW (100 BREW per $1 spent), redeeming BREW across merchants, and cashing out via subscriptions ($0-$15/month).
  • Merchants: Onboarding to BSYS, issuing/redeeming BREW, and accessing analytics (lite or $500/year premium).
  • Donors: Contributing to the Donation Token Launch (DTL) to receive BLAY governance tokens.
    The Services are in active development, with features and timelines (e.g., 500K merchants by 2028+) subject to change.

4. User Accounts

  • Registration: To use certain features (e.g., earning BREW, voting with BLAY), you must create an account with accurate information.
  • Security: You are responsible for maintaining the confidentiality of your account credentials and wallet private keys. Notify us immediately at hello@blaysloyalty.com of any unauthorized access.
  • Subscriptions: Users may subscribe to tiers (e.g., Starter, Booster) via Stripe. Subscriptions auto-renew monthly unless canceled before the next billing cycle (no refunds per our Refund Policy).

5. Merchant Obligations

  • Onboarding: Merchants must pay setup fees ($25-$500), integrate via POS (e.g., Square), QR codes, or manual entry, and comply with BSYS fees (1% sales, $0.018-$0.03/tx, $0.01/occurrence).
  • BREW Issuance: Merchants issue 100 BREW per $1 spent and set redemption rates (e.g., $0.0008+/BREW).
  • Compliance: Merchants must ensure their use of BSYS complies with local laws (e.g., tax reporting, consumer protection).

6. Token Usage

  • BLAY (Governance Token): BLAY holders may vote on BSYS parameters (e.g., fee adjustments) via the App. BLAY is tradable on exchanges (e.g., Raydium) but carries no guaranteed value.
  • BREW (Loyalty Point): BREW is earned-only, non-tradable outside BSYS, and used for redemptions or cash-outs (e.g., $0.0006/BREW).
  • Risks: Blockchain transactions are irreversible. Lost wallet keys or hacked accounts cannot be recovered by us.

7. Acceptable Use

You agree not to:

  • Use the Services for illegal purposes or to violate any laws.
  • Attempt to hack, disrupt, or exploit the Website, App, or Solana smart contracts (e.g., 0xGHI…, 0xJKL…).
  • Misrepresent your identity, business, or transaction data.
  • Interfere with other users’ or merchants’ access to the Services.
  • Reverse-engineer, copy, or distribute our software or intellectual property without permission.

8. Intellectual Property

  • Ownership: The Website, App, BSYS, and related content (e.g., logos, whitepaper, code) are owned by Blays or our licensors and protected by copyright, trademark, and other laws.
  • Limited License: We grant you a non-exclusive, revocable license to use the Services for personal or business purposes (as applicable) in accordance with these Terms.
  • Restrictions: You may not reproduce, modify, or distribute our intellectual property without written consent.

9. Fees and Payments

  • Users: Subscription fees are charged monthly via Stripe (1% processing fee). No refunds apply.
  • Merchants: Fees include setup, BSYS (1%), transaction, and issuance/redemption costs, paid in USDC or fiat as specified.
  • DTL Donors: Contributions are final, with excess refunded per the Refund Policy.
  • Blockchain Costs: Blays absorbs BREW-related Solana fees ($0.00025/tx); merchants pay POS fees.

10. Termination

  • By You: You may stop using the Services at any time. Subscriptions must be canceled via the App to avoid renewal.
  • By Us: We may suspend or terminate your access for violating these Terms, fraud, or at our discretion with notice (e.g., via email). On-chain assets (BLAY, BREW) remain yours but may be inaccessible via our platform post-termination.

11. Disclaimers

  • No Warranties: The Services are provided “as is” with no warranties of availability, accuracy, or fitness for purpose. See our Disclaimer for details.
  • Blockchain Risks: We are not liable for Solana network issues, smart contract failures, or asset losses due to user error (e.g., lost keys).
  • Projections: Goals (e.g., $250M BSYS by 2028+) are estimates, not guarantees.

12. Limitation of Liability

To the fullest extent permitted by law:

  • Blays, its team, and affiliates are not liable for any damages (e.g., financial loss, data breaches) arising from your use of the Services.
  • Our total liability, if any, shall not exceed the amount you paid us in the prior 12 months (excluding DTL contributions).

13. Indemnification

You agree to indemnify and hold Blays harmless from any claims, losses, or damages (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

14. Governing Law and Dispute Resolution

  • Governing Law: These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.
  • Disputes: Any disputes shall be resolved through binding arbitration in Wyoming, USA, under the rules of the American Arbitration Association (AAA), except for injunctive relief, which may be sought in a Wyoming court. Arbitration shall be conducted in English, and the arbitrator’s decision shall be final and binding.

15. Miscellaneous

  • Entire Agreement: These Terms, with referenced policies, constitute the full agreement between you and Blays.
  • Severability: If any provision is unenforceable, the remaining Terms remain in effect.
  • No Waiver: Our failure to enforce any right does not waive it.
